Please note that since 21/07/2016 the following thresholds have been crossed by CGC, all relating to
indirect holdings of voting rights attaching to shares:
- On 21/07/2016 CGC crossed above a threshold of 10% with a resulting holding of 90,081,967 shares representing 10.372% of total voting rights. A TR-1 notification was submitted on behalf of CGC on 22/07/2016.
- On 07/12/2016 CGC crossed above a threshold of 11% with a holding of 97,237,484 shares representing 11.270% of total voting rights. No TR-1 notification was submitted on behalf of CGC at that time.
- On 25/01/2018 CGC crossed below a threshold of 11% with a resulting holding of 92,701,717 shares representing 10.915% of total voting rights. The present TR-1 notification is being
submitted on behalf of CGC in relation to this crossing.
CGC is the parent company of Capital Research and Management Company ("CRMC"). CRMC is a
U.S.-based investment management company that manages the American Funds family of mutual funds. CRMC manages equity assets for various investment companies through three divisions, Capital Research Global Investors, Capital International Investors and Capital World Investors. CRMC in turn is the parent company of Capital Group International, Inc. ("CGII"), which in turn is the parent company of five
investment management companies ("CGII management companies"): Capital Guardian Trust Company, Capital International, Inc., Capital International Limited, Capital International Sàrl and Capital International K.K. The CGII management companies primarily serve as investment managers to institutional clients.
Neither CGC nor any of its affiliates own shares of William Hill plc for its own account. Rather, the shares reported on this Notification are owned by accounts under the discretionary investment management of one or more of the investment management companies described above.
